WealthQuest Terms and Conditions
Effective Date: 10 August 2026
WealthQuest, LLC
WealthQuest, LLC
These Terms and Conditions are the customer- and platform-facing agreement governing your access to and use of the WealthQuest platform and your purchase of any product or service made available through it. They are distinct from the WealthQuest IBO Agreement (the "IBO Agreement"), which governs the separate business relationship, compensation, and status/termination mechanics for anyone who enrolls as an Independent Business Owner ("IBO"). Where these Terms and the IBO Agreement both speak to an IBO's use of the platform, these Terms control platform access, use, and commerce mechanics, and the IBO Agreement controls the business relationship, status, and compensation — see Section 1.3.
Document architecture. This document is split into Part I — General Terms, which applies to every visitor, Customer, and IBO regardless of which product they use, and Part II — Product Schedules, one per Product Line, incorporated by reference. A Product Schedule governs the commerce terms specific to one Product Line — description, pricing approach, and refund/cancellation position — without requiring Part I to be reopened when a new Product Line launches or an existing one changes. This version includes a completed Schedule for WealthVentures.

Part I — General Terms
1. Introduction and Acceptance
1.1 Who We Are
Welcome to WealthQuest. These Terms and Conditions (the "Terms") are a legal agreement between you and WealthQuest, LLC, a Texas limited liability company ("WealthQuest," "we," "us," or "the Company"), governing your access to and use of the WealthQuest website, mobile applications, and online platform (together, the "Platform"), and your purchase of any product or service made available through the Platform.WealthQuest's brand, trademarks, and business-system intellectual property are owned by, or licensed to, WealthQuest, LLC or WealthVentures, LLC, each of which owns, or has obtained the necessary rights to license, the rights it makes available for use on the Platform.WealthQuest, LLC and WealthVentures, LLC are separate companies under common ownership and control. Neither is a subsidiary of the other. WealthVentures, LLC, a Nevada limited liability company, operates the WealthVentures Platform and licenses it to WealthQuest, LLC. WealthQuest, LLC is the sole contracting entity under these Terms and the only entity that sells to Customers or IBOs.
1.2 Acceptance
By creating an account, placing an order, or otherwise using the Platform, you agree to be bound by these Terms and by our Privacy Policy (https://www.wealthquest.com/legal/privacy-policy), which is incorporated into these Terms by reference. If you do not agree, you must not use the Platform. You must be at least 18 years of age, and legally capable of entering into a binding contract in your jurisdiction, to use the Platform or purchase anything through it.
1.3 How These Terms Relate to the IBO Agreement
These Terms apply to every visitor, Customer, and IBO's use of the Platform itself — browsing, account access, ordering, payment, content, and general platform conduct. If you enroll as an Independent Business Owner ("IBO"), your business relationship with WealthQuest — status levels, activation, compensation eligibility, the Sales Compensation Plan, non-solicitation, and IBO-specific termination — is governed separately by the WealthQuest IBO Agreement (the "IBO Agreement") and its incorporated documents (the Policies and Procedures, the Sales Compensation Plan, the Income Disclosure Statement, the Privacy Policy, and any Product Appendix you accept), not by these Terms. Where these Terms and the IBO Agreement both address the same topic in a way that conflicts, the IBO Agreement controls for the IBO business relationship, and these Terms control for platform access, commerce mechanics (ordering, payment, refunds on Customer-facing purchases), acceptable use, and the matters in Part I, Sections 9–19 below. Nothing in these Terms narrows a right or protection an IBO has under the IBO Agreement. The KYC/AML Statement (https://www.wealthquest.com/legal/kyc-aml) is not one of the IBO Agreement's incorporated documents. It is a standalone public disclosure of the Company's identity-verification, sanctions-screening, and anti-money-laundering program, written to be consistent with, and cross-referenced by, the IBO Agreement and these Terms.
1.4 Changes to These Terms
We may update Part I of these Terms, or any Product Schedule, from time to time. A material change will be posted on the Platform with an updated effective date, and we will provide advance notice by email or in-platform notice at least 15 days before the change takes effect — to every user of the Platform, not only to those who hold an active Subscription affected by the change. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to a change, your remedy is to stop using the Platform and, where applicable, cancel your account or Subscription before the effective date. A change to one Product Schedule does not require reacceptance of Part I or of any other Product Schedule you are not subscribed to.
1.5 Availability and Changes to the Platform
We may modify, suspend, or discontinue the Platform, or any feature of it, at any time, with or without notice, and are not liable to you for doing so — except that, where you hold an active Subscription, Section 6 governs your right to a refund if the change materially reduces what you're paying for.

3. Accounts
3.1 Account Registration
To place an Order or access certain Platform features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
3.2 One Account Per Person
Consistent with the IBO Agreement's one-account rule for IBOs (IBO Agreement, Section 3), each individual may hold only one account on the Platform. A Customer account and an IBO account are not the same account type; a Customer who later enrolls as an IBO does so under the enrollment and identity-verification process described in the IBO Agreement and the KYC/AML Statement, not by creating a second, separate account.
3.3 Accuracy of Information
You represent that all information you provide — including billing, shipping, and identity information — is accurate and that you will promptly update it if it changes. We may suspend or terminate an account that we reasonably believe contains materially false information.
4. How Orders and Payment Work
4.1 Sole Merchant of Record
WealthQuest, LLC is the sole merchant of record for every Customer charge made through the Platform, across every Product Line. Your card statement will show a WealthQuest billing descriptor regardless of which Product Line you purchased.
What this covers. This covers every charge WealthQuest, LLC bills through the Platform, which is: the WealthVentures membership — the one-time Activation charge and the recurring monthly Subscription charge (Schedule P-1.3) — and, for IBOs, the IBO License (the Activation Fee and Monthly License Fee described in the IBO Agreement, Section 6). Those are the only charges WealthQuest, LLC bills.
What this does not cover. A booking with a third-party supplier — whether completed on the supplier's own website or through a supplier checkout embedded within the Platform (Schedule P-1.2) — is not a Platform charge. WealthQuest, LLC is not the seller, is not the merchant of record, and is not a party to that booking; it never handles the funds, invoicing, or payment details for it, and receives no revenue, margin, or commission from it, regardless of how the checkout is presented. The supplier is the seller and merchant of record for that booking, and is responsible for it (Section 11 and Schedule P-1.2).
Technology licence. WealthQuest, LLC pays WealthVentures, LLC a technology/licence fee for use of the WealthVentures Platform, which WealthVentures, LLC operates and licenses to WealthQuest, LLC. This is an internal arrangement between the two companies and does not change who you are contracting with for purposes of these Terms — that is WealthQuest, LLC.

This is an internal arrangement between the two companies and does not change who you are contracting with for purposes of these Terms — that is WealthQuest, LLC.
4.2 Payment Method and Processing
All purchases are made exclusively by credit or debit card (or another payment method we expressly enable) through our designated payment processor. We do not accept, and no IBO may accept on our behalf, cash, check, bank transfer, or peer-to-peer payment for any Order — every Order must be completed by you directly on the Platform. This restates, and does not narrow, the platform-only payment rule already stated in the IBO Agreement (Section 13) for IBO-facilitated sales.
4.3 Pricing and Currency
Prices are stated in US dollars unless otherwise indicated at checkout. We may change prices for genuine commercial reasons (cost, market conditions) at any time; a price change does not affect an Order already placed. Where a Subscription price is changing, Section 6.3 governs notice. Product-specific pricing is set out in the applicable Product Schedule (Part II).
4.4 Order Acceptance
Your Order is an offer to purchase, which we may accept or decline (for example, for suspected fraud, pricing or listing error, or where a product is unavailable). We will notify you if we decline an Order, and you will not be charged, or will be refunded in full, for any declined Order.
4.5 Taxes
Applicable taxes. Depending on your location and applicable law, your Order may be subject to sales tax, use tax, VAT, GST, or other applicable transaction, consumption, or indirect tax. Applicable tax is calculated and added to the price shown at checkout based on your billing address, delivery location, or service location, or as otherwise required by applicable law, and is disclosed to you before you complete the Order.
Platform charges. For charges WealthQuest, LLC bills directly through the Platform — the WealthVentures membership Activation and Subscription charges, and, for IBOs, the IBO License Activation Fee and Monthly License Fee (Section 4.1) — WealthQuest, LLC is responsible for calculating, collecting, and remitting any applicable sales tax, VAT, GST, or other transaction tax as required by law in the applicable jurisdiction.
Supplier bookings. For a booking with a third-party supplier — whether completed on the supplier's own website or through a supplier checkout embedded within the Platform (Schedule P-1.2) — the supplier, as the seller and merchant of record for that booking (Section 4.1), is responsible for calculating, collecting, and remitting any applicable tax due on it. WealthQuest, LLC does not calculate, collect, or remit tax on supplier bookings.
Your responsibility. If applicable tax is not collected at checkout for any reason — including where a jurisdiction requires self-assessment or use-tax reporting by the purchaser — you remain responsible for paying any tax due under applicable law. Tax rates, rules, and exemptions vary by jurisdiction and are subject to change without notice.
Tax exemptions. If you are eligible for a tax exemption, you must provide valid, current exemption documentation for your jurisdiction before your Order is placed. Exemptions cannot be applied retroactively to a completed Order.
Tax exemptions. If you are eligible for a tax exemption, you must provide valid, current exemption documentation for your jurisdiction before your Order is placed. Exemptions cannot be applied retroactively to a completed Order.
5. Product Lines and Product Schedules — Incorporation Mechanism
5.0 The WealthQuest IBO License
The WealthQuest IBO License — the Activation Fee and Monthly License Fee described in the IBO Agreement, Section 6 — is available only to enrolled IBOs and is governed exclusively by the IBO Agreement. It is not a "Product Line" for purposes of these Terms and is not covered by a Product Schedule.
5.1 How a Product Schedule Applies to You
Each Product Line's specific commerce terms — its description, pricing approach, and refund/cancellation position — are set out in its own Product Schedule in Part II, below. A Product Schedule becomes part of your agreement with WealthQuest only once you purchase, subscribe to, or otherwise affirmatively engage that Product Line; browsing a Product Line's description on the Platform does not by itself incorporate its Schedule. Part I of these Terms applies to your use of every Product Line regardless of which Schedule(s) apply to you
5.2 Current Product Schedules

5.3 Gold Points Redemption at Checkout
Where Gold Points are available on your account, they may be applied toward an eligible purchase as described in Section 8. Gold Points cannot be combined with a partial-payment split against the same charge — if the order value exceeds your available Gold Points balance, Gold Points cannot be used for that Order at all (see Section 8.3). Whether Gold Points may be applied to a specific Product Line's purchase is confirmed in that Product Line's Schedule.WealthVentures Points are not applied at checkout in this way. They are deducted from your WealthVentures Points balance when you take an offer on the WealthVentures Platform that requires them, as described in Schedule P-1.5
6. Cancellation, Refunds, and Subscription Terms — General Principles
This section states the mechanics common to every Product Line. The specific refund/cancellation position for a given Product Line — what is and isn't refundable, and any product-specific cooling-off treatment — is set out in that Product Line's Schedule (Part II), not here.
6.1 IBO License — 14-Day Right to Cancel
If you enroll as an IBO, your right to cancel the License within 14 days of enrollment, and the refund that follows, is governed exclusively by the IBO Agreement (Section 6). This Section 6 does not apply to that right.
6.2 Declined or Failed Orders
You are not charged, or are refunded in full, for a declined or failed Order, per Section 4.4.
6.3 Cancelling a Subscription
You may cancel a recurring Subscription at any time through the Back Office, using a process no more difficult than the one used to sign up. Cancellation takes effect at the end of the then-current billing period; you retain access through that period. Whether the billing period already in progress at cancellation is refundable in whole or in part is stated in the applicable Product Schedule. We will give at least 30 days' advance notice, by email or in-platform notice, before any increase to a Subscription's recurring price.
6.4 Automatic Renewal Disclosures
Where a Subscription automatically renews, we will, before you first pay for it: clearly and conspicuously disclose the recurring charge, its amount, and the length of the renewal term; disclose how to cancel; and obtain your affirmative consent to the recurring charge, separate from the rest of the transaction — consistent with the US Restore Online Shoppers' Confidence Act (ROSCA) and applicable state automatic-renewal laws (for example, California's Automatic Renewal Law). Where a state's law requires a reminder notice before a renewal following a free trial or a promotional period, or before a renewal term of a year or more, we will send that reminder as required.
6.5 Chargebacks
Initiating a card chargeback instead of using the cancellation and refund process above does not waive any amount you otherwise owe us, and repeated unwarranted chargebacks may result in suspension of your account.
7. Order Fulfillment and Customer Service
All Orders are fulfilled directly by WealthQuest or its designated fulfillment or booking partner, as specified in the applicable Product Schedule. IBOs do not fulfill, ship, or personally deliver any product or service (Policies and Procedures, Section 7) — direct any Order issue to our Customer service channel (Section 19), not to your Sponsor or referring IBO. An IBO who receives a Customer complaint directly must redirect it to that channel and may not personally resolve it by refund, replacement, or other compensation.
8. Gold Points
Gold Points are WealthQuest's internal reward credit, issued by WealthQuest, LLC: a credit you can apply toward a later purchase on the Platform. Gold Points are earned only as the Gold Points share of IBO compensation under the Sales Compensation Plan. They are never issued for buying a product, a subscription, or a membership. One Gold Point is one US dollar of redemption value. Gold Points never expire and are never forfeited — not on lapse of a fee or Subscription, not on cancellation, not on non-renewal, and not on suspension; they remain in your account until you redeem them. This section summarizes the consumer-facing rules; the full mechanics governing how IBOs earn Gold Points are set out in the Sales Compensation Plan.Gold Points are live now, as part of WealthQuest's ordinary IBO compensation mechanics — they are not a future or planned feature. Gold Points are entirely distinct from GoldMind, a future, not-yet-launched WealthQuest product line. GoldMind is unrelated to Gold Points and is not a cryptocurrency, digital-asset, or precious-metal-backed product. GoldMind is not a Product Line under these Terms, has no Product Schedule or Product Appendix, is not available for purchase or enrollment, and generates no compensation of any kind, until it separately completes its own compliance review and goes live.
8.1 What Gold Points Are Not
Gold Points have no cash value and are not money, a security, a stored-value instrument, a deposit, or a claim against WealthQuest. They are not linked to the price of gold, any other commodity, or any cryptocurrency — one Gold Point is one US dollar of redemption value regardless of the price of gold or any commodity or cryptocurrency.
8.2 What Gold Points Can Be Used For
Buying WealthQuest products, paying for a Subscription, performing an upgrade, and purchasing event tickets, where the applicable Product Schedule confirms Gold Points as an accepted payment method for that Product Line. We may introduce additional redemption options from time to time; where we do, their terms will be published separately.
8.3 Rules
Gold Points are non-transferable and non-assignable, and cannot be gifted, sold, or moved between accounts; cannot be redeemed, exchanged, or withdrawn for cash; and cannot be applied in part — if an Order's value exceeds your available Gold Points balance, Gold Points cannot be used for that Order at all. An Order paid in whole or in part with Gold Points generates no Direct Bonus for anyone. It does generate BV in the ordinary way for the purchase, which counts toward the referring IBO's upline compensation — including Stable Income Team Bonus, Rank Maintenance, and Generational Match — under the Sales Compensation Plan, subject to the applicable subscription and redemption limits described there.Gold Points and WealthVentures Points are two different things. Gold Points are part of how an IBO is paid: they are the Gold Points share of compensation earned under the Sales Compensation Plan, and are never issued for buying anything. WealthVentures Points are issued for buying and keeping a WealthVentures membership, and are used together with money to take certain offers on the WealthVentures Platform. They are never compensation. The two are separate balances, are never combined, and cannot be converted into one another. WealthVentures Points are described in Schedule P-1.5.
9. Intellectual Property
9.1 Our Content
The Platform and its Content — including the WealthQuest name, trademarks, logos, trade dress, software, and all text, graphics, video, and design elements — are owned by WealthQuest or an Affiliate, or used under license, and are protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its Content for your own personal use (or, for an IBO, to operate your IBO business as authorized under the IBO Agreement). You may not copy, modify, distribute, sell, or create derivative works from the Platform or its Content except as expressly permitted.
9.2 Your Content
If you submit a review, testimonial, comment, or other content to the Platform ("User Content"), you grant WealthQuest a royalty-free, worldwide, sublicensable license to use, reproduce, and display that User Content in connection with operating and promoting the Platform. You represent that your User Content is accurate, not misleading, and does not infringe any third party's rights. This is separate from, and does not expand, the Image/Likeness Release an IBO grants under the IBO Agreement (Section 14).Prohibited content. You will not submit User Content that: is unlawful, fraudulent, or defamatory; infringes any third party's copyright, trademark, privacy, publicity, or other intellectual property or proprietary right; is obscene, sexually explicit, or exploits or endangers a minor; is discriminatory, hateful, or promotes violence against a person or group based on a protected characteristic; relates to an illegal good or service, or to weapons, controlled substances, or unlawful gambling; promotes a pyramid scheme, chain letter, or other prohibited business practice; or contains malicious code. We may remove or disable access to User Content we reasonably believe violates this Section, without liability to you, and may suspend or terminate your account for a repeated or serious violation.
9.3 Copyright and Trademark Complaints
If you believe User Content or other material on the Platform infringes your copyright or trademark, send written notice to our designated agent:Wayne Nugent WealthQuest, LLC 5717 Legacy Dr Plano, TX 75024-3689 USA compliance@wealthquest.comYour notice must include: (a) identification of the work you claim is infringed; (b) identification of the allegedly infringing material and its location on the Platform; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the copyright or trademark owner, its agent, or the law; (e) a statement, made under penalty of perjury, that the notice is accurate and that you are the owner, or are authorized to act on behalf of the owner, of the right claimed to be infringed; and (f) your physical or electronic signature. On receiving a complete notice, we will remove or disable access to the identified material and notify the person who submitted it. That person may submit a counter-notification meeting the requirements of applicable law (for example, 17 U.S.C. § 512(g) in the United States) to request reinstatement. We may terminate the account of a user determined to be a repeat infringer.
9.4 Trademark Notice
"WealthQuest" and "WealthVentures" are trademarks of WealthQuest or an Affiliate. Use of any WealthQuest trademark without prior written authorization is prohibited.
10. Acceptable Use
You agree not to: use the Platform for any unlawful purpose; attempt to gain unauthorized access to any account, system, or network connected to the Platform; interfere with or disrupt the Platform's operation; scrape, harvest, or collect data from the Platform except as expressly permitted; upload malicious code; or impersonate any person or misrepresent your affiliation with WealthQuest. IBOs are additionally bound by the marketing, brand-usage, and platform-integrity rules in the Policies and Procedures. We may suspend or terminate your access to the Platform for a violation of this Section 10, in addition to any remedy available to us under the IBO Agreement where you are also an IBO.
11. Third-Party Services and Links
The Platform may link to, or integrate with, third-party websites, services, or suppliers (for example, a payment processor, or a third-party supplier named in a Product Schedule). We do not control and are not responsible for the content, terms, or practices of any third party. Your use of a third-party service is at your own risk and subject to that third party's own terms.
12. Privacy
Our collection, use, and sharing of your personal data is governed by our Privacy Policy (https://www.wealthquest.com/legal/privacy-policy), which is incorporated into these Terms by reference. The KYC/AML Statement (https://www.wealthquest.com/legal/kyc-aml) describes the identity-verification, sanctions-screening, and anti-money-laundering program WealthQuest applies to IBO enrollment and to payouts. It is a standalone public disclosure and is not incorporated into these Terms; it is published so that you can see how that program works and how it relates to the personal data handling described in the Privacy Policy.
13. Disclaimers
To the maximum extent permitted by applicable law, the Platform and all products and services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure. Nothing in this section excludes or limits any statutory right you may have under applicable consumer-protection law that cannot lawfully be excluded.
14. Limitation of Liability
One limitation, one cap. The limitation in this Section 14 is the same limitation of liability set out in the IBO Agreement, Section 17. Where a person is both a Customer and an IBO, a single cap applies to all of that person's claims — the cap is not applied twice, once under these Terms and again under the IBO Agreement.
Cap on the Company's liability. To the maximum extent permitted by applicable law, WealthQuest's total liability to you arising out of or relating to these Terms or your use of the Platform — whether in contract, tort, or otherwise — is capped at the greater of:(a) the total compensation paid to you under the Sales Compensation Plan in the six (6) months immediately preceding the event giving rise to the claim, regardless of the form in which it was paid;(b) the total amounts you paid to WealthQuest, LLC in the twelve (12) months immediately preceding that event; or(c) one hundred US dollars ($100).
What this cap does not limit. This cap does not apply to, and does not limit WealthQuest's liability for: fraud, gross negligence, or wilful misconduct; breach of WealthQuest's confidentiality or intellectual property obligations; death or personal injury caused by WealthQuest's negligence; or any liability that cannot be limited or excluded under applicable law, including mandatory consumer-protection rights available to you under the law of your country of residence.
Indirect and consequential damages. Subject to the same carve-outs stated immediately above, and to the maximum extent permitted by applicable law, WealthQuest is not liable for indirect, incidental, special, consequential, or punitive damages.
This is not a cap on earned compensation. This limitation applies to damages arising from a legal claim or dispute. It does not limit, and should never be read to limit, WealthQuest's ordinary obligation to pay you compensation you have actually earned under the Sales Compensation Plan.
Supplier bookings. A claim relating to a booking with a third-party supplier — whether completed on the supplier's own website or through a supplier checkout embedded within the Platform (Schedule P-1.2) — lies against that supplier, which is the seller and merchant of record for that booking and is responsible for it (Section 11 and Schedule P-1.2), regardless of how the checkout is presented. WealthQuest is not a party to that booking and never handles the funds, invoicing, or payment details for it, and receives no part of its price. This cap applies only to WealthQuest's liability to you. It does not limit your indemnification obligations to WealthQuest (Section 15.1) or your obligations under Sections 9 and 10.
15. Indemnification
15.1 Your Indemnification of WealthQuest
You agree to indemnify, defend, and hold harmless WealthQuest and its Affiliates, and their respective officers, directors, and employees, from and against any claim, damage, loss, liability, or expense (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your violation of applicable law, or your misuse of the Platform.
15.2 WealthQuest's Limited Indemnification of You
WealthQuest will indemnify, defend, and hold harmless you from and against any third-party claim, damage, loss, liability, or expense (including reasonable attorneys' fees) arising directly out of WealthQuest's fraud, gross negligence, or willful misconduct, mirroring the carve-outs from the liability cap in Section 14.What this does not cover. This indemnification does not extend to a claim against, or arising from the acts or omissions of, a supplier, broker, or operator named in a Product Schedule, and does not extend to the performance, cancellation, pricing, safety, or non-delivery of any travel service a supplier provides. WealthQuest does not sell, resell, or receive any commission, margin, or other payment on a supplier's travel service; the booking is completed with the supplier — whether on the supplier's own website or through a supplier checkout embedded within the Platform (Schedule P-1.2) — directly between you and that supplier, and the supplier — not WealthQuest — is responsible for it under Section 11 and the applicable Product Schedule, regardless of how the checkout is presented; WealthQuest never handles the funds, invoicing, or payment details for that booking. This Section 15.2 does not make WealthQuest a guarantor of any supplier's performance, and does not limit whatever right or remedy you have directly against that supplier, broker, or operator.
16. Governing Law and Dispute Resolution
Incorporation. These Terms — Part I and every Product Schedule — adopt and incorporate by reference the mediation, arbitration, class-action-waiver, jury-trial-waiver, small-claims, batching, third-party-beneficiary, and non-waivable-local-rights provisions set out in the IBO Agreement, Schedule C-1 (https://www.wealthquest.com/legal/ibo-agreement). Those provisions apply to any dispute arising out of or relating to these Terms or to your use of the Platform as if set out here in full, and they apply to you whether or not you are an IBO. Where a person is both a Customer and an IBO, one dispute-resolution process governs all of that person's disputes. The following summary states the operative terms so that you can understand your position without leaving this document. It does not vary Schedule C-1.Governing law. These Terms, and any dispute arising out of or relating to them or to your use of the Platform, are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles.Mediation. The parties will first attempt in good faith to resolve any dispute through confidential, non-binding mediation administered by the American Arbitration Association ("AAA") in Dallas, Texas.Arbitration. If the dispute is not resolved within forty-five (45) days of a written request for mediation, either party may submit it to final and binding arbitration administered by the AAA under its Consumer Arbitration Rules (or under its Commercial Arbitration Rules where the AAA determines that its Consumer Arbitration Rules do not apply), before a single arbitrator, seated in Dallas, Texas, conducted in English.Class-action and jury waiver. You and WealthQuest each waive any right to bring or participate in a class, collective, or representative action; the arbitrator may hear only individual claims. You and WealthQuest each also waive any right to a trial by jury.Small claims. Either party may instead bring an individual claim in a small-claims court (or the equivalent court of limited jurisdiction in your place of residence), in lieu of mediation or arbitration, provided the claim qualifies for that court and remains there on an individual basis. If the claim is removed, transferred, consolidated, or otherwise proceeds outside small-claims court, the mediation-and-arbitration process applies to it from that point forward.Fees. Each party bears its own attorneys' fees and expert costs. Administrative and arbitrator fees are governed by the AAA's applicable fee schedule.Batching of similar claims. Where more than twenty-five (25) similar claims are filed against WealthQuest by, or with the coordination of, the same counsel within a ninety (90) day period, the parties will ask the AAA to administer them in staged batches of no more than fifty (50) claims each, with a single arbitrator appointed per batch, in order to control cost and delay.Affiliates and individuals covered. WealthQuest's Affiliates, and their respective officers, directors, and employees, are intended third-party beneficiaries of the dispute-resolution provisions incorporated by this Section 16 and may enforce them to the same extent WealthQuest could, for a claim against them arising out of or relating to your use of the Platform. This is the one exception to Section 18's general no-third-party-beneficiaries rule.Injunctive relief. Either party may seek immediate injunctive relief, including a temporary restraining order, from a court of competent jurisdiction in Dallas County, Texas, to prevent or stop an actual or threatened breach of confidentiality, intellectual property, non-solicitation, or acceptable-use obligations, without first submitting the matter to mediation or arbitration.Non-waivable local rights. Nothing in this Section 16 deprives you of a non-waivable consumer- or worker-protection right available to you under the mandatory law of your place of residence, including any right to a forum that such mandatory law makes non-waivable by private agreement.EU/UK consumers — online dispute resolution. If you are a consumer resident in the EU/EEA, you may also submit a complaint through the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr; if you are a consumer resident in the UK, you may contact your national consumer dispute-resolution body. WealthQuest does not currently commit to participate in any alternative dispute resolution scheme beyond the mediation step described above; providing this information does not obligate WealthQuest to use, or to accept the outcome of, any ODR or ADR proceeding you initiate.
17. Termination of Platform Access
We may suspend or terminate your access to the Platform at any time for a violation of these Terms, suspected fraud, or as required by law. Where you are also an IBO, any suspension or termination of your IBO status is governed exclusively by the IBO Agreement (Section 15); this section addresses only Platform access as a Customer or as an IBO's separate ability to browse/order, not IBO status itself. Sections that by their nature should survive termination — including Sections 9 (Intellectual Property), 14 (Limitation of Liability), 15 (Indemnification), and 16 (Governing Law and Dispute Resolution) — do survive.
18. General
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an Affiliate or to a successor in connection with a merger, reorganization, or sale of substantially all of our assets. No Third-Party Beneficiaries. Except as expressly stated in these Terms — including the rights Section 16 confers on WealthQuest's Affiliates and their officers, directors, and employees — these Terms bind and benefit only you and WealthQuest, and do not confer any right or remedy on any other person or entity — including a Sponsor or other referring IBO, or a supplier, broker, or operator named in a Product Schedule.Notices. A legal notice to WealthQuest under these Terms must be sent to office@wealthquest.com, or to WealthQuest, LLC, 5717 Legacy Dr, Plano, TX 75024-3689, USA, and is deemed received when actually received, or on the next business day if received outside normal business hours. We may give you notice by email to the address on your account, by in-platform notice, or by posting on the Platform; email notice is deemed received when sent, absent evidence of non-delivery.Global Availability; Export Control and Sanctions. WealthQuest offers the Platform and its products and services worldwide, without geographic restriction, except that WealthQuest does not knowingly enroll, sell to, or pay compensation to any individual or entity located in, or who is a national of, a country or territory that is the subject of comprehensive sanctions administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), the European Union, the United Nations Security Council, or the Swiss State Secretariat for Economic Affairs (SECO), or that WealthQuest's payment or banking partners decline to support for equivalent sanctions-compliance reasons. This is consistent with the sanctions screening described in the KYC/AML Statement (Section 5). You represent that you are not located in, under the control of, or a national or resident of any such country or territory, and are not identified on any US government restricted-party or denied-persons list. You will not use the Platform in violation of applicable export-control or economic-sanctions law, and we may deny or terminate your access where necessary to comply with such law.Severability. If a provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision is reformed to the minimum extent necessary to make it enforceable while preserving its original intent.Entire Agreement. These Terms (Part I and every Product Schedule that applies to you), together with the Privacy Policy and, for IBOs, the IBO Agreement and its incorporated documents (the Policies and Procedures, the Sales Compensation Plan, the Income Disclosure Statement, the Privacy Policy, and any Product Appendix you accept), constitute the entire agreement between you and WealthQuest regarding your use of the Platform, and supersede any prior discussions or agreements on the same subject. No Waiver. No failure or delay by WealthQuest in enforcing a provision of these Terms waives that provision.Electronic Records. Your acceptance of these Terms, by checkbox, click-through, or other electronic means, is valid and binding to the same extent as a handwritten signature.Language. At this time, these Terms and WealthQuest's other legal documents are published in English only. WealthQuest intends to make translated versions available in additional languages over time, prioritized by market size and demand, as its international operations develop. Where a translated version is made available, the English-language version remains the authoritative and controlling version in the event of any conflict or ambiguity.Force Majeure. Neither party is liable for a delay or failure to perform caused by events beyond that party's reasonable control, including natural disaster, war, pandemic, or government action.

Part II — Product Schedules
Each Schedule below governs one Product Line's specific commerce terms and applies only to a Customer or IBO who purchases, subscribes to, or otherwise engages that Product Line (Section 5.1). Part I applies in full alongside every Schedule.
Schedule P-1 — WealthVentures (Travel)
P-1.1 Description
WealthVentures is a members-only travel membership. What your membership gives you is access to a curated, members-only travel platform — the WealthVentures Platform — with search and curated content across hotels and accommodation, flights, villas, yacht charters, private aviation, curated trips, guides and experiences, eSIM, and airport lounges, together with an AI travel assistant.Where a supplier makes a member rate available for a given search, date, or destination, that rate is presented to you on the Platform. WealthQuest does not set supplier pricing, and does not represent that a member rate, a saving, or any particular level of discount is available for any given search, date, or destination.WealthVentures is offered across three membership tiers — Basic, Premier, and Luxury (Section P-1.3). Premier and Luxury tiers add access to private villas, yacht charters, private aviation, and fully-tailored WealthVentures trips (Section P-1.2).
P-1.2 How WealthVentures' Travel Categories Work
WealthVentures' travel categories fall into two buckets, and the distinction matters for who you are paying and who is responsible for what.(i) What WealthQuest, LLC bills. The only thing WealthQuest, LLC sells and charges you for under this Schedule is the WealthVentures membership itself — the one-time Activation charge and the recurring monthly Subscription charge set out in Section P-1.3. WealthQuest, LLC is the seller and merchant of record for those charges, and for nothing else (Section 4.1).(ii) What the WealthVentures Platform presents. Every travel offer presented on the WealthVentures Platform is an offer of a third-party supplier. You complete the booking and pay the supplier directly — depending on the supplier, either by continuing on the supplier's own website, or through a supplier checkout embedded within the Platform (for example, by iframe or a similar integration). However checkout is presented, WealthQuest, LLC and WealthVentures, LLC never handle the funds, the invoice, or your payment details for that booking — the supplier's own payment technology processes the charge and issues any invoice directly. The supplier is the seller and the merchant of record for that booking regardless of how the checkout is presented. Neither WealthQuest, LLC nor WealthVentures, LLC is a party to that booking, receives any part of the booking price, or earns any margin or commission on it. WealthVentures, LLC negotiates and holds the contracts with certain of these suppliers and makes the resulting member access available on the WealthVentures Platform, which is where you view and select options according to the membership tier you hold; neither WealthQuest, LLC nor WealthVentures, LLC itself contracts for or provides the underlying travel service.Specifically:Hotels and Villas — access is provided through RSI. Villa arrangements are handled by RSI on an enquiry, human-assisted basis. RSI is the merchant of record and is responsible for post-booking support, cancellations, chargebacks, and fulfillment for both categories.Yachts and Private Aviation — access is provided through Charter Index (yachts) and Aviapages (private aviation) on a quote/enquiry basis. For these two categories, the broker or operator contracts with you directly, and you — not WealthQuest, LLC and not WealthVentures, LLC — are the party to that contract; the broker or operator is responsible for all support, cancellations, and chargebacks.Curated Trips — provided through Culture Holidays, which is the merchant of record and responsible for fulfillment and support.Private Group WealthVentures Trips — operated by RSI, which is the merchant of record and responsible for all payments, liability, and support for these trips.Guides & Experiences — booked through Viator, which is the merchant of record.eSIM — purchased through Holafly, which is the merchant of record.Lounges — a Priority Pass membership entitlement is issued to you and used directly with Priority Pass under its own scheme terms.Places (Attractions, Restaurants, Clubs, Beaches and Similar Venues) is informational only — content and listings for reference, with no purchase available.Flights are search-only — results direct you to complete your purchase directly with the airline; neither WealthQuest, LLC nor WealthVentures, LLC is a party to that purchase, and it is governed by the airline's own conditions of carriage.Standalone bookings; not a travel package. Except for Private Group WealthVentures Trips (which are separately addressed as packages under Section P-1.6), each travel-related experience made available through the WealthVentures Platform — including a yacht charter, villa arrangement, private aviation charter, hotel stay, guide/experience booking, eSIM, or lounge entitlement — is offered, priced, and contracted as a single, standalone service by the responsible supplier. Neither WealthQuest, LLC nor WealthVentures, LLC combines two or more such travel services into one combined price or a single booking. Accordingly, for these standalone bookings, neither acts as a package organiser, and the specific protections that apply to combined travel packages under the EU Package Travel Directive or equivalent laws do not apply.Linked travel arrangements. Where a click-through from the WealthVentures Platform leads to a second travel service being booked within a short period, the resulting arrangement may constitute a linked travel arrangement under the EU Package Travel Directive. Where it does, WealthQuest will provide the information the Directive requires to be given in respect of a linked travel arrangement; and because WealthQuest receives no payment for those travel services and never handles the funds, invoicing, or payment details for them — you pay each supplier directly, whether on the supplier's own website or through a supplier checkout embedded within the Platform — WealthQuest holds no customer payments requiring insolvency protection in respect of them. If this changes in the future, WealthQuest will update this Schedule and implement any protections then required by law.State travel-seller registration. WealthQuest, LLC does not take bookings and does not handle customer funds for travel services: it bills only the WealthVentures membership, and every travel booking is completed and paid for either on the supplier's own website or through a supplier checkout embedded within the Platform — WealthQuest, LLC never handles those funds either way. Where a U.S. state nonetheless requires seller-of-travel or equivalent registration for the travel-related experiences presented through the WealthVentures Platform, WealthQuest, LLC will obtain that registration before making that state's offerings available to residents of that state.Regardless of category, a supplier, broker, or operator may require its own identity verification, source-of-funds documentation, or other conditions before confirming a booking, separate from anything WealthQuest requires of you. Cancellation, change, and refund terms for a specific booking are set by the supplier, broker, or operator responsible for that category, and will be presented to you before you confirm the booking. If a supplier-fulfilled booking is cancelled through no fault of your own — for example, the supplier is unable to honor the booking, ceases operating, or cancels for its own operational reasons — WealthQuest will notify you as soon as reasonably possible and will make reasonable efforts to help you obtain an alternative booking or a refund from the responsible supplier, broker, or operator. This is a service commitment on WealthQuest's part, not an assumption of the supplier's liability, and does not limit whatever right or remedy you have directly against that supplier, broker, or operator.Supplier warranty. Each supplier, broker, or operator named in this Schedule represents, as a condition of being made available on the Platform, that it holds all licenses, registrations, and authorizations required by applicable law to provide the travel service it offers — including, where the EU Package Travel Directive applies to a booking, any required "organiser" status and insolvency-protection coverage (Section P-1.6). This is a standing representation that applies for as long as the supplier is named in this Schedule.
P-1.3 Membership Pricing

Activation grants immediate access to your tier's benefits and issues that tier's activation WealthVentures Points allotment, issued by WealthQuest, LLC (Section P-1.5). Your monthly Subscription keeps your tier's access, the AI travel concierge, and all tier benefits active, and issues that month's WealthVentures Points allotment, issued by WealthQuest, LLC; benefits lapse if your Subscription lapses. Tier benefits — including which travel categories (Section P-1.2) are available at each tier, early access to WealthVentures Trips, lounge access through the Priority Pass membership entitlement issued to you and used directly with Priority Pass under its own scheme terms, and the Premier/Luxury resort-stay benefit — are described in full on the Platform's current tier-comparison page. Benefits are personal, non-transferable, have no cash value, require an active, paid-up Subscription, and lapse on cancellation, non-payment, or suspension.
P-1.4 Refund Position
The WealthVentures Activation charge is non-refundable once the associated onboarding content or access has been delivered.Where you are a consumer entitled to a statutory right of withdrawal under the law of your country of residence — including a consumer resident in the EU/EEA relying on the 14-day statutory withdrawal right for distance contracts for services and digital content under Articles 9 and 16(m) of Directive 2011/83/EU (the EU Consumer Rights Directive), as implemented in their member state, or a consumer resident in the UK relying on the equivalent right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 — that right is not waived by this Section alone. Before WealthQuest may treat the Activation charge as non-refundable against such a consumer, checkout must obtain, and WealthQuest must be able to evidence: (a) your prior express consent to WealthQuest beginning performance (delivering the associated onboarding content or access) before the standard statutory withdrawal period expires; (b) your acknowledgment that, by consenting, you lose your right of withdrawal once performance has begun, or, where the service is one capable of full and immediate performance, once it is complete; and (c) confirmation of both (a) and (b) on a durable medium (for example, a confirmation email you can retain).Checkout mechanism. This consent is captured through a dedicated checkbox in the checkout/enrollment funnel — unticked by default, and separate from and not bundled with the button or action that completes payment — presented with wording covering both (a) and (b) above. Checking the box and completing your purchase is treated as your affirmative consent and your acknowledgment; the interaction (including a timestamp and the exact consent wording shown to you at the time) is logged against your account and order, and a confirmation is additionally sent to you by email as the durable-medium record required by (c).This consent flow applies at checkout for every purchase, because WealthQuest, LLC sells WealthVentures to consumers globally. Where checkout does not implement this consent flow for a given consumer's jurisdiction, the Activation charge is treated as refundable within that jurisdiction's statutory withdrawal window for that consumer notwithstanding the general non-refundable position stated above. The WealthVentures recurring Subscription fee is likewise non-refundable, subject to the same checkout consent mechanism described above.
P-1.5 WealthVentures Points
What WealthVentures Points are. WealthVentures Points are a non-monetary credit issued by WealthQuest, LLC to a person who holds a paid WealthVentures membership, used together with money to take certain offers on the WealthVentures Platform. WealthVentures, LLC does not issue, fund, hold, or redeem them. WealthVentures Points are not Gold Points (Section 8), and they are not compensation. How they are issued. WealthVentures Points are issued only for paying for a WealthVentures membership — the one-time Activation payment and each paid monthly Subscription payment. The allotment is fixed by the tier you hold:

These are fixed amounts set by tier. They are not calculated from, and do not vary with, the amount paid. WealthVentures Points are never issued as, or as part of, compensation. An IBO does not earn WealthVentures Points through the Sales Compensation Plan; an IBO who buys a WealthVentures membership receives them as a subscriber, in the same way as any other Customer, never as an IBO.How they are used. Certain offers on the WealthVentures Platform are priced in two parts: an amount payable in money to the third-party supplier, and an amount payable in WealthVentures Points. Both must be paid for the offer to be booked. You pay the money to the supplier directly — whether on the supplier's own website or through a supplier checkout embedded within the Platform (Schedule P-1.2), with WealthQuest, LLC and WealthVentures, LLC never handling the funds, invoicing, or payment details for that payment; the WealthVentures Points are deducted from your WealthVentures Points balance by WealthQuest, LLC at the time you take the offer. An offer's WealthVentures Points requirement is stated on the Platform. What WealthVentures Points are not. WealthVentures Points have no cash value and are not money, a security, a deposit, a stored-value instrument, or a claim against the Company. They are not linked to the price of gold, any other commodity, or any cryptocurrency. They cannot be exchanged, cashed out, redeemed for cash, sold, gifted, transferred, or assigned, and cannot be moved between accounts. They generate no BV and no commission for anyone, and are not a Commissionable Event. No conversion; separate balances. WealthVentures Points cannot be converted into Gold Points, and Gold Points cannot be converted into WealthVentures Points. The two balances are separate and never combine.Supplier cancellation. Where an offer you took with WealthVentures Points is cancelled through no fault of your own — for example, the supplier is unable to honor the booking, ceases operating, or cancels for its own reasons — WealthQuest, LLC restores the WealthVentures Points deducted for that offer to your balance.Refund or chargeback. If a payment that issued WealthVentures Points is refunded or charged back, the corresponding allotment is reversed. Where those WealthVentures Points have already been used, the shortfall is carried as a negative WealthVentures Points balance and offset against future allotments.Lapse; 90-day hold. If your WealthVentures membership lapses — through cancellation, non-payment, or suspension — your unredeemed WealthVentures Points balance is held for ninety (90) days following the lapse date. If you reactivate your membership within that window, the held balance is restored in full. If you do not reactivate within that window, the held balance expires on the 90th day following the lapse date, and is not restored or carried forward if the membership is later reopened or reactivated.Gold Points. Gold Points may be applied toward a WealthVentures membership purchase, subject to the general rules in Section 8 and the monthly redemption limit of one WealthVentures subscription per calendar month (Sales Compensation Plan, Section 15.4). Gold Points cannot be applied in part. No Gold Points are issued on a WealthVentures purchase: Gold Points are earned only as the Gold Points share of IBO compensation under the Sales Compensation Plan.
P-1.6 Package Travel / EU Considerations
This Section addresses the one WealthVentures category that is not a standalone booking under Section P-1.2. Private Group WealthVentures Trips (Section P-1.2) are presented to EU-resident Customers. Where the EU Package Travel Directive applies to one of these trips, RSI — as the entity that contracts for and operates the trip — is treated as the package "organiser" for that trip, responsible for the Directive's organiser obligations, including pre-contractual information, insolvency protection, and liability for proper performance of the package. RSI has confirmed to WealthQuest that it holds the required organiser status and insolvency-protection coverage for these trips. The role of WealthQuest, LLC and of WealthVentures, LLC is limited to presenting RSI's package on the WealthVentures Platform and enabling you to reach RSI to book it. RSI's organiser status and insolvency-protection coverage are also covered by the standing supplier warranty in Section P-1.2, which applies to RSI and to every other supplier named there.
P-1.7 Your Travel Documents and Advisories
You are solely responsible for ensuring you hold a valid passport, any required visa, and any other travel document needed for a trip booked through a supplier you reach from the Platform, and for checking vaccination or health requirements and government travel advisories for your destination before you travel. WealthQuest, LLC and WealthVentures, LLC are not responsible for a denied boarding, denied entry, or other consequence of your failure to meet a destination's entry or health requirements, and this is not covered by the supplier notify-and-remedy commitment in Section P-1.2, which addresses a supplier-caused cancellation, not a documentation or eligibility failure on your part.
